Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the QR Wave service (“Service”) operated by Nexx Digital Sdn Bhd, a company registered in Malaysia (“QR Wave”, “we”, “us”, “our”).
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old to use the Service. By creating an account, you represent that you are at least 18 and have the legal authority to enter into these Terms. If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
2. Accounts
2.1 Registration
To access dashboard features, you must create an account with a valid email address and password, or sign in through a supported third-party authentication provider (such as Google). You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
2.2 Organizations
Each account is associated with an organization. You are responsible for all QR codes, campaigns, and data created within your organization.
2.3 Account Security
You must notify us promptly at contact@qr-wave.com if you become aware of any unauthorized access to your account. We are not liable for losses resulting from unauthorized use of your account credentials.
3. Service Plans and Features
3.1 Free Plan
The Free plan provides limited access to the Service at no charge, including static QR code generation, a limited number of dynamic QR codes, and restricted analytics visibility. Free plan limitations are described on our pricing page and may change over time.
3.2 Paid Plans
Paid plans (Pro and any future tiers) provide expanded features as described on our pricing page. Feature availability and limits for each plan may be updated from time to time. We will notify existing subscribers before reducing features included in their current plan.
3.3 Static QR Codes
Static QR codes are generated entirely on your device. The destination URL is embedded directly in the QR code image. Static QR codes have no tracking capability and cannot be edited after creation. We are not responsible for static QR codes once generated.
3.4 Dynamic QR Codes
Dynamic QR codes route through our redirect service. We provide hosting for the short URL, scan tracking, and the ability to update the destination URL after creation. Dynamic QR codes depend on the continued operation of our redirect infrastructure.
4. Billing and Payment
4.1 Subscription Fees
Paid plans are billed on a recurring basis (monthly or annually) at the rates displayed at the time of purchase. All fees are in USD unless otherwise stated. Prices may change with 30 days notice to existing subscribers.
4.2 Payment Processing
Payments are processed by Stripe. By subscribing to a paid plan, you agree to Stripe's terms of service. We do not store your credit card information.
4.3 Cancellation
You may cancel your subscription at any time through the dashboard billing settings or via the Stripe Customer Portal. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the period you have already paid for.
4.4 Refunds
Refund requests submitted within 14 days of the start of a billing cycle will be honored as a pro-rated refund for the remainder of that cycle. To request a refund, contact us at contact@qr-wave.com within the 14-day window. After 14 days, no refunds will be issued for the current billing period.
4.5 Downgrade
If you downgrade from a paid plan to the Free plan (or to a lower-paid plan), your existing data (QR codes, campaigns, scan history) is retained. Features that exceed the limits of your new plan will be restricted but not deleted.
5. Your Content and Data
5.1 Ownership
You retain ownership of all content you create using the Service, including QR codes, destination URLs, campaign data, and uploaded logos. We do not claim any intellectual property rights over your content.
5.2 License to Us
By using the Service, you grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, cache, and display your content solely as necessary to provide the Service. This license terminates when you delete your content or your account.
5.3 Data Retention on Deletion
When you delete your account, we will delete your personal data within 30 days. Anonymous scan analytics data (which contains no personally identifiable information) may be retained. QR codes that have been printed or distributed by you will no longer resolve to their destination after account deletion.
5.4 Backup Responsibility
You are responsible for maintaining your own copies of destination URLs, campaign configurations, and any other content you store in the Service. While we implement reasonable backup procedures, we do not guarantee against data loss.
6. Acceptable Use
You agree not to use the Service to:
- Create QR codes that link to malicious, deceptive, or phishing content.
- Distribute malware, viruses, or harmful code through QR code destinations.
- Engage in fraud, impersonation, or misrepresentation.
- Violate any applicable law, regulation, or third-party rights.
- Generate QR codes for illegal content, including but not limited to child exploitation material, content promoting violence, or material that violates intellectual property rights.
- Abuse the Service infrastructure through automated means, excessive API calls, or any activity designed to degrade service performance.
- Use the Service to collect personal data from scan users beyond what QR Wave provides through its analytics dashboard.
We reserve the right to suspend or terminate your account, block specific QR codes, or restrict access to the Service if we determine that you have violated these Terms or that your use poses a risk to the Service or other users.
7. QR Code Availability
7.1 Service Availability
We strive to maintain high availability for our redirect service but do not guarantee uninterrupted operation. Dynamic QR codes depend on our redirect infrastructure, which may experience downtime for maintenance, technical issues, or circumstances beyond our control.
7.2 QR Code Deactivation
We reserve the right to deactivate QR codes that violate our Acceptable Use policy (Section 6) or applicable law. If we deactivate a QR code, we will notify you at the email address associated with your account, unless prohibited by law.
7.3 No Guarantee of Permanence
While we intend to operate the Service for the long term, we cannot guarantee indefinite availability of any specific QR code redirect. If we discontinue the Service, we will provide at least 90 days notice and make reasonable efforts to allow you to export your data.
8. Intellectual Property
8.1 Our Property
The Service, including its design, features, documentation, and underlying technology, is owned by Nexx Digital Sdn Bhd and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand assets.
8.2 Third-Party Trademarks
QR Code is a registered trademark of DENSO WAVE INCORPORATED. Use of the term “QR Code” on this platform is descriptive and refers to the two-dimensional barcode format developed by Denso Wave. QR Wave is not affiliated with or endorsed by DENSO WAVE INCORPORATED.
8.3 Feedback
If you provide us with suggestions, ideas, or feedback about the Service, you grant us a non-exclusive, royalty-free, perpetual license to use and incorporate that feedback without obligation to you.
9. Privacy
Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect account holder data. Information about data collected when QR codes are scanned is covered by our QR Scan Privacy Policy. Both policies are incorporated into these Terms by reference.
10. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any QR code will always resolve to its intended destination.
11. Limitation of Liability
To the fullest extent permitted by law, Nexx Digital Sdn Bhd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, business, or goodwill. Our total aggregate liability shall not exceed the greater of: (a) the amounts you paid to us in the twelve (12) months preceding the claim, or (b) one hundred US dollars (USD $100).
12. Indemnification
You agree to indemnify and hold harmless Nexx Digital Sdn Bhd, its officers, directors, and employees from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) the content you create or distribute using the Service.
13. Termination
13.1 By You
You may terminate your account at any time by deleting your account through the dashboard settings. Termination does not entitle you to a refund except as described in Section 4.4.
13.2 By Us
We may suspend or terminate your account if you violate these Terms, if your account is inactive for more than 12 consecutive months, or if we are required to do so by law. For violations, we will provide notice and a reasonable opportunity to cure the violation before termination, except where immediate action is required to protect the Service or other users.
13.3 Effect of Termination
Upon termination, your right to access the Service ceases immediately. Dynamic QR codes associated with your account will stop redirecting. We will retain your data for 30 days after termination to allow for account recovery, after which personal data will be deleted.
14. Governing Law and Disputes
These Terms are governed by the laws of Malaysia, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved through the courts of Malaysia, unless you are entitled to bring a claim in a different jurisdiction under applicable consumer protection law.
15. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the changes.
16. Miscellaneous
16.1 Entire Agreement
These Terms, together with our Privacy Policy and QR Scan Privacy Policy, constitute the entire agreement between you and Nexx Digital Sdn Bhd regarding the Service.
16.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
16.3 No Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
16.4 Assignment
You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
